TERMS AND CONDITIONS OF USE
Effective Date: 06 March 2026
Welcome to Fidden! Fidden is a platform that connects providers and customers within the beauty, grooming, wellness and art expression industries. Fidden is owned and operated by Fidden, Inc. (“we,” “us,” or “our”). These Terms and Conditions of Use (“Terms”) govern the access and use of any user (“you”, “your”) of the Fidden website at https://fidden.io (“Site”), the Fidden mobile application (“App”), and any related services, features, content, and tools we provide on the platform (collectively, the “Platform”). By creating an account, clicking “I agree,” installing or using the App, or accessing/using the Platform, you agree to these Terms. If you do not agree with any of these Terms, you may not use or access the Platform. If you are using the Platform on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity. THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER IN SECTION 36. SECTION 36 AFFECTS YOUR LEGAL RIGHTS AND MAY REQUIRE THAT DISPUTES BE RESOLVED BY INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

THE PLATFORM.
Providers. Providers provide the Services. Providers (not Fidden) are responsible for the Services they offer and perform, including their service quality, outcomes, safety, and compliance with law.
Clients. Clients contract directly with Providers for Services. When a Client books a service, the service contract is between the Client and the Provider.
Platform Role. Fidden is a technology platform that provides tools that enable Providers to facilitate listings, communicate with Clients, accept and manage bookings, and facilitate payments through the Payment Processor. We are not a party to that service contract. The Platform merely acts as a passive conduit for the Clients and Providers for the offer and provision of the Services, and does not sell, provide, or resell Services.
No Employment; No Control. Providers are independent third parties. We do not employ Providers and do not supervise, direct, or control how Providers perform Services, including the methods, timing, location, personnel, tools, or manner of performance, except for Platform requirements intended to support functionality, safety, trust, or compliance.
No Agency or Partnership. Nothing in these Terms creates nor intends to create any employment, agency, joint venture, partnership, or fiduciary relationship between Fidden Inc. and any Provider. Providers have no authority to bind Fidden or to make any representations, warranties, or commitments on our behalf.
SAFETY AND SERVICE DISCLAIMERS.
No Guarantee of Services. WE DO NOT GUARANTEE, ENDORSE, VERIFY, OR WARRANT ANY PROVIDER OR ANY SERVICE, INCLUDING THE QUALITY, SAFETY, LEGALITY, SUITABILITY, TIMELINESS, AVAILABILITY, OR OUTCOME OF ANY SERVICES. We do not supervise, direct, control, or monitor Providers’ performance of the Services, and we are not responsible for any acts or omissions of any Provider or Client.
User Responsibility; Assumption of Risk. You are solely responsible for exercising reasonable judgment and taking appropriate precautions when interacting with others through the Platform, including before booking, meeting in person, allowing someone into your home or workplace, or providing Services at a third-party location (including a Client’s home, workplace, or a Provider’s premises). You are responsible for: (a) confirming the identity, qualifications, licensing, and insurance of any Provider (as applicable); (b) communicating clearly about service expectations, allergies, sensitivities, contraindications, and relevant conditions; (c) maintaining a safe environment for in-person services (including pets, hazards, and security); and (d) complying with all applicable laws and venue rules. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISKS ARISING OUT OF OR RELATING TO YOUR INTERACTIONS WITH OTHER USERS AND THE SERVICES, INCLUDING PERSONAL INJURY, ILLNESS, PROPERTY DAMAGE, THEFT, AND ANY OTHER HARM OR LOSS.
Emergencies. THE PLATFORM IS NOT AN EMERGENCY SERVICE. If you have an emergency or believe you or someone else is in immediate danger, call local emergency services immediately. We are not responsible for responding to emergencies or for any delay in obtaining emergency assistance.
YOUR ACCOUNT.
Account Creation. You may need an Account to use certain features of the Platform.
Account Information. You agree to provide accurate, current, and complete information in your Account.
Account Security. You will not share your Account Information or your username and password with any third party or permit any third party to use the Platform using your Account Information. You are responsible for: maintaining confidentiality of your credentials; all activity under your Account (whether you authorized or not); and promptly notifying us at [email protected] if you suspect unauthorized access.
Third-Party Signup. The Platform may also include a tool that allows you to sign in or register using information from your accounts in third party services, such as Facebook, Twitter (X), Google, or Instagram. These third-party services are not related to the Platform, and your use of such third-party services is subject to the terms and policies of those services.
SUBSCRIPTIONS.
Subscription Plans. Most features of the Platform are available on a subscription basis. Current Subscription Plans, their features, and Fees are described on the Site and at sign-up.
Subscription Fees. Subscription Fees are billed on a recurring basis as described on the Site and at sign-up.
Automatic Renewal. Your Subscription will automatically renew, unless you cancel it before the end of the current Subscription period.
Upgrades and Downgrades. If you subscribed to a Subscription and then downgrade or upgrade, you will be billed for the Fee of the new Subscription at the start of its Subscription period.
Subscription Cancellation. You may cancel your Subscription via the Platform settings or by contacting support at [email protected]. Cancellation takes effect at the end of the current billing period.
No Refunds. A Subscription will remain active during its period. Subscription Fees are charged for access to and use of the Platform regardless of Booking volume, revenue, or any other level of activity. Subscription Fees are not contingent on, and will not be reduced or waived due to, the number of Bookings completed (or not completed) during any Subscription period. Subscription Fees are NON-REFUNDABLE, EXCEPT AS REQUIRED BY LAW OR UNDER SPECIFIED CONDITIONS. Any exceptions will be stated at purchase or in writing.
Fee Changes. We may change Fees, add new Fees, or modify Subscription plan features. We will provide advance notice as required by law and, for material changes, at least sixty (60) days’ notice (for example, by email or in-app notice). Continued use after the effective date constitutes acceptance.
Taxes on Fees. Fees may be subject to taxes (for example, sales tax/VAT/GST) depending on jurisdiction. You authorize us to charge applicable taxes where required.
PROVIDERS.
This Section applies if you are a Provider (or acting for a Provider).
Provider Eligibility. Providers may publish listings, availability, pricing, and Provider Policies through the Platform. If you create a listing, you represent and warrant that:
you have full authority to offer and perform the Services you list;
your listings are truthful, accurate, and not misleading; and
you can legally provide Services in each jurisdiction where you offer them.
Identity Verification and Fraud Prevention. You authorize us and our Payment Processor to verify your identity and business information (including requesting additional documentation) to follow law, Payment Processor requirements, and fraud prevention.
Regulated Services. You may not use the Platform to offer regulated or restricted services, unless you are properly licensed to do so and the Payment Processor allows those services.
Taxes. You are responsible for determining, collecting, reporting, and remitting any taxes arising from your Services (including sales tax where applicable), except to the extent a Platform feature expressly collects/remits on your behalf and we explicitly state that in writing.
PROVIDER RESPONSIBILITIES.
Providers are solely responsible for: (i) the quality, safety, and outcomes of the Services they offer and perform; (ii) obtaining and maintaining all required licenses, permits, certifications, registrations, and insurance (including professional and general liability insurance where appropriate); (iii) complying with all applicable federal, state, and local laws, rules, and regulations in connection with their Services and use of the Platform; and (iv) determining, collecting, reporting, and remitting all taxes arising from their Services (including sales tax, where applicable), except to the extent the Platform expressly collects and remits such taxes on a Provider’s behalf and we explicitly state that in writing.
PROVIDER POLICIES.
The Provider is responsible for publishing and disclosing to every Client its Provider Policies, which must include its cancellation, rescheduling, no-show, refund, late arrival, and other service-specific policies. The Provider is responsible for obtaining the Client’s consent to the Provider Policies before providing the Services to the Client.
Providers are solely responsible for ensuring that their Provider Policies and any enforcement of them (including any fees charged) comply with applicable law, card-network rules, and Payment Processor requirements. We do not guarantee that any Provider Policy will be enforceable and are not responsible for a Provider’s failure to properly disclose, obtain consent for, or lawfully enforce its Provider Policies.
Platform Functionality. The Platform may provide tools that allow a Provider to apply and, where enabled, automatically enforce the Provider’s Provider Policies (for example, charging a late-cancellation fee, applying a no-show fee, or retaining a Deposit) only where the applicable Provider Policies were clearly displayed to the Client at or before checkout and the Client affirmatively acknowledged them.
PAYMENTS PROCESSING; PAYOUTS FOR PROVIDERS.
Payment Processor. The Platform facilitates payments through Stripe and Stripe Connect, the Payment Processor.
Connected Account. To accept payments through the Platform, Providers must connect an eligible payout method and complete Payment Processor onboarding. Providers agree to the Payment Processor’s terms (for example, Stripe’s Connected Account Agreement).
Merchant of Record / Contracting Party. For payments processed through the Platform, the Provider is the “merchant of record” and “seller of record” for the service, and the Client’s purchase is from the Provider, not from us or the Platform.
Authorization to Process Payments. Providers authorize the Platform and the Payment Processor to facilitate payment processing for Services on the Provider’s behalf, including to:
accept and process Client payments for Services on the Provider’s behalf;
deduct Fees (for Platform access/tools), chargebacks, refunds, processing costs, and other authorized amounts; and
initiate payouts to the Provider’s connected account.
Application Fees and Processing Fees. The Platform may charge Application Fees for Platform access/tools per transaction as disclosed to the Provider. The Payment Processor may charge payment processing fees. Such fees may be deducted from the transaction amount and/or charged to the applicable payment method, as permitted by the Payment Processor and applicable law.
Deposits. If deposits are enabled, deposits are charged according to the Provider Policies disclosed to the Client at booking.
Tips. Tips are intended for Providers. Tips are not subject to percentage-based Platform Fees, unless we explicitly disclose otherwise at the time the tip is collected.
Payout Timing. Payout timing depends on the Payment Processor, banking networks, verification status, risk signals, settlement timing, and payout settings. Payout timing estimates are not guaranteed.
Reserves, Holds, and Delayed Payouts. To manage risk, comply with law, or respond to disputes/chargebacks, we and/or the Payment Processor may place holds, delay payouts, require reserves, or limit payout amounts.
Negative Balances; Recovery. If refunds, chargebacks, disputes, reversals, Fees, or other amounts cause a Provider balance to become negative, the Provider is responsible for the negative balance. The Provider authorizes us and/or the Payment Processor to recover amounts owed from future payouts and, where permitted, from the Provider’s external payment method or bank account on file.
No Fiduciary Relationship. We do not act as a fiduciary, escrow agent, trustee, or broker for Provider funds.
PROVIDER’S DATA MIGRATION AND CLIENT IMPORT AUTHORIZATION POLICY.
Provider-Initiated Migration and Authorization. Providers may choose to import Migrated Data into the Platform from External Systems. Providers control whether to migrate, what to migrate, and how Migrated Data is used for their operations and communications. By initiating any import or migration (including by enabling an integration or asking the Platform’s support to assist), the Provider authorizes and instructs the Platform and its service providers to receive, upload, store, host, back up, transmit, organize, and otherwise process Migrated Data as necessary to provide the Platform and related features.
Provider Representations, Warranties, and Covenants. By initiating any migration or import of Migrated Data, Provider represents, warrants, and agrees on an ongoing basis that:
Compliance with Privacy and Marketing Laws. The Migrated Data was collected, maintained, and transferred in compliance with applicable privacy and marketing laws, including any required: privacy notices at collection; consents/authorizations for collection, use, and disclosure; restrictions relating to sensitive data (if any); and records of consent and opt-out status.
No Violation of Third-Party Rights or Obligations. The transfer of Migrated Data to the Platform and Provider’s use of Migrated Data on the Platform does not violate any contract, confidentiality obligation, terms of use, or other duty owed to any third party (including an External System vendor), or any statutory or regulatory obligations.
Lawful Ownership, Control and Required Permissions. Provider lawfully owns or controls the Migrated Data or otherwise has obtained all rights, permissions, and consents necessary to: access and export Migrated Data from the External System; transfer, upload, and process Migrated Data on the Platform; and authorize the Platform and its service providers to process Migrated Data for Platform purposes.
Platform Roles and Limitations. The Platform acts solely as a technical facilitator of Provider-initiated data migrations and imports into the Platform. Neither we nor the Platform verify the accuracy, completeness, or legality of Migrated Data, and does not verify whether Provider has obtained required notices, rights, permissions, or consents. Neither we nor the Platform assume responsibility for:
how Migrated Data was collected or maintained prior to import;
whether Migrated Data was lawfully obtained;
whether marketing communications are permitted; or
Provider’s compliance with privacy and marketing laws.
Provider Responsibilities. As between Fidden Inc. and Provider, Provider retains its rights (if any) and responsibilities in Migrated Data. Providers remain solely responsible for: the legality of Migrated Data and its use; the content, timing, and legality of Provider Communications; responding to complaints, disputes, claims, or regulatory inquiries relating to Provider’s Migrated Data and outreach; and maintaining documentation evidencing rights and consents (including opt-in/opt-out status) as required by law.
No Solicitation; No Guarantee. Neither we nor the Platform solicit customers on Provider’s behalf merely because Provider imports Migrated Data. Neither we nor the Platform represent that migrated/imported Clients will engage, rebook, respond to messages, or become paying Clients.
- Indemnification. To the fullest extent permitted by law, Provider will indemnify, defend, and hold harmless Fidden Inc. and its affiliates and each of their respective officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, investigations, damages, judgments, penalties, fines, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Provider’s migration/import of Migrated Data, including its source, legality, accuracy, and use;
Provider’s failure to obtain, maintain, or honor required consents, opt-outs, or privacy notices;
Provider’s communications (including marketing) to Clients whose data was migrated/imported; and/or
Provider’s violation of privacy and marketing laws or third-party rights/obligations.
This indemnity is in addition to, and not in limitation of, any indemnities set out in these Terms.
CLIENTS.
This Section applies if you are a Client (or acting for a Client).
Provider Selection. You are responsible for selecting a Provider and evaluating whether a Provider and their Services meet your needs.
Provider Policies. Before booking, you should review the Provider’s Provider Policies.
Bookings. When a Client requests or completes a Booking:
the Client is requesting to avail Services from the Provider; and
the Provider is responsible for confirming, performing, or declining the Booking (as applicable within the Platform flow).
No Guarantee from Fidden. You acknowledge and agree that Fidden Inc. does not guarantee the quality, safety, legality, or outcome of any Services.
CLIENT PAYMENTS; PREAUTHORIZATION.
This Section applies if you are a Client (or acting for a Client).
Client Payment Authorization. When you book a Service as a Client, you authorize the Payment Processor to charge your selected payment method for amounts disclosed at checkout (including Deposits, Service price, applicable taxes, Tips, and other fees).
Pre-authorizations. The Platform may place a temporary authorization hold to validate your payment method. Holds are controlled by your bank/card issuer.
Provider Policies. Each Provider sets Provider Policies, including cancellation, rescheduling, no-show, refund, late arrival, and service-specific policies. The Provider is responsible for ensuring their Provider Policies comply with applicable law and are clearly disclosed before purchase.
Platform Enforcement of Provider Policies. If the Provider Policies are:
displayed to you before checkout; and
you acknowledge them (for example, by checking a box or completing checkout);
then the Platform may enforce those policies automatically (for example, charging a late cancellation fee or retaining a Deposit), as configured by the Provider.
Refunds. Refund eligibility is governed by the Provider Policies and applicable law. If a refund is approved, it may be issued to the original payment method and may take time to reflect depending on banking networks.
No-Shows and Late Arrivals. No-show and late-arrival rules are governed by the Provider Policies disclosed at booking, subject to applicable law.
Disputes with Providers. If you have an issue with Services, you should first contact the Provider using the Platform’s tools when possible. We may provide tools to facilitate communication, but we do not guarantee outcomes.
Your Responsibility for Booking. You are responsible for providing accurate booking information (for example, date/time, address, and any intake details requested) when booking a Service.
NO CIRCUMVENTION.
The Platform may allow Offline Payments as described in the Additional Payments Policy.
Except as to the extent that Offline Payments are allowed under the Additional Payments Policy, to protect the Platform and its community, you agree not to bypass, avoid, or circumvent the Platform to avoid Fees or to complete a transaction outside the Platform that was initiated, introduced, facilitated, or made possible through the Platform.
Prohibited circumvention includes, without limitation: (a) requesting, encouraging, or accepting off-platform payment for a booking or for Services first requested, discussed, or booked through the Platform; (b) sharing or requesting direct contact details (including phone number, email, social handles, or website links) for the primary purpose of moving a Platform-sourced booking off-platform; (c) cancelling or modifying a Booking to complete the same or substantially similar Services off-platform; or (d) using the Platform to identify or solicit a Client or Provider and then transacting outside the Platform.
If we determine (in our reasonable discretion) that you have violated this Section, we may suspend or terminate your Account, withhold or offset payouts to the extent permitted by law, and pursue any other remedies available under these Terms or applicable law, including recovery of unpaid Fees and reasonable costs of enforcement.
COMMUNICATIONS.
Electronic Communications. You consent to receive communications from us electronically (for example, email, in-app messages, and notices posted in the Platform). These communications satisfy any legal requirement that they be in writing.
Text Messages. If you opt in to SMS/text messaging, you consent to receive transactional and service-related texts. Message and data rates may apply. You can opt out as described in the applicable opt-in flow or by replying “STOP,” unless the message is required for security or fraud prevention purposes.
Messaging. The Platform may include messaging tools. You agree not to use messaging for prohibited conduct under these Terms and not to share sensitive information unless necessary and permitted by law.
ACCEPTABLE USE POLICY.
We encourage a free and open exchange of ideas in a climate of mutual respect. Any action by a user that infringes on another user's right to use and enjoy the Platform is prohibited. We reserve the right, but do not assume any obligation, to monitor your online conduct to enforce these Terms. You must use the Platform for lawful purposes only.
You agree not to, and not to assist others to use the Platform to:
violate any law, regulation, or court order;
offer, promote, or provide illegal services or services prohibited by the Payment Processor;
harass, threaten, stalk, or discriminate against others;
impersonate any person or entity or misrepresent your affiliation;
commit fraud, submit false information, or manipulate ratings/reviews;
attempt to access accounts or data you are not authorized to access;
scrape, harvest, or collect information from the Platform without permission;
upload malware or interfere with the Platform’s operation;
use the Platform to send spam or unauthorized marketing communications;
infringe or misappropriate intellectual property or privacy rights;
circumvent or attempt to circumvent Fees or Platform processes (including off-platform payment solicitation for Platform-sourced bookings);
use the Platform in a way that could harm us, the Payment Processor, or other Users (including excessive chargebacks, unusually high fraud risk, or policy violations).
We may suspend or terminate Accounts for any suspected or actual violation of these Terms.
DISPUTES AND CHARGEBACKS.
Client Payment Disputes. If a Client disputes a charge with their bank/card issuer, the issuer may initiate a Chargeback. All Users concerned agree to cooperate and provide requested information promptly to help resolve the issue.
Provider Responsibility. Provider bears Chargeback risk. Because the Provider is the merchant of record, the Provider is responsible for Chargebacks and related fees, reversals, and penalties assessed by card networks, banks, or the Payment Processor.
Evidence and Deadlines. Providers must provide accurate service descriptions, maintain customer communications, and submit evidence within Payment Processor deadlines. Missing a deadline may result in automatic results or approval of Chargeback.
Platform Assistance. We may (but are not required to) provide tools to help submit evidence and may submit evidence on the Provider’s behalf using Platform records. We do not guarantee outcomes.
Immediate Debits. When a Chargeback occurs, the disputed amount and associated fees may be withdrawn immediately and may create a negative Provider balance.
Recovery of Losses and Fees. Providers authorize us and/or the Payment Processor to recover Chargeback amounts, refunded amounts, Chargeback fees, dispute fees, and related costs from:
the Provider’s balance;
future payouts; and
where permitted, the Provider’s external account on file.
PRIVACY AND DATA.
Fidden Privacy Policy. Our collection, use, and disclosure of personal information are described in our Privacy Policy found at https://fidden.io/privacy-policy, incorporated herein by reference. Users (and especially Providers) must comply with all applicable privacy and data protection laws when accessing, collecting, using, disclosing, storing, or otherwise processing personal information obtained through the Platform.
Provider Data Responsibilities. Providers are responsible for:
obtaining any consents required to collect and share information with the Platform (including sensitive information);
using Client information only for legitimate service purposes and as permitted by law, and not for unauthorized marketing; and
complying with applicable privacy and marketing laws (including rules for promotional messages), implementing reasonable administrative, technical, and physical safeguards to protect personal information, and notifying us without undue delay (and in any event within 72 hours) after becoming aware of any actual or suspected unauthorized access to, acquisition of, disclosure of, or loss of personal information obtained through the Platform, to the extent required by applicable law.
ARTIFICIAL INTELLIGENCE.
Optional Tools. The Platform may offer optional artificial intelligence-assisted features (“AI Features”). Where available, you may be able to enable or disable AI Features. If you choose not to use AI Features, you can continue to use the Platform without them (subject to feature availability).
Limitations; No Professional Advice. AI Features may generate output that is inaccurate, incomplete, misleading, offensive, or not appropriate for your situation. You are responsible for reviewing and verifying all AI output before using it, including relying on AI output for operational decisions. AI Features are provided for informational and productivity purposes only and do not constitute medical, legal, financial, or other professional advice.
Data Processing. To provide AI Features, we and/or our third-party AI service providers may process certain data submitted to or generated through the Platform, which may include User Content, messages, form responses, appointment details, and notes that you choose to input or make available to the AI Features (“AI Input”), and the resulting AI-generated output (“AI Output”). We will process AI Input and AI Output in accordance with these Terms, our Privacy Policy, and applicable law. For more information, please see our Privacy Policy.
Access Controls. Access to AI Input and AI Output will be limited to authorized personnel and service providers with a need to know for purposes of providing, maintaining, securing, and improving the AI Features and the Platform.
AI Models. By default, we do not use AI Input or AI Output to train or improve any AI models (ours or a third party’s). If we offer a setting that allows you to opt in to such training for a specific AI Feature, we will only use the AI Input and AI Output for that AI Feature for training or improvement when you enable that setting, and you may disable it at any time (subject to feature availability).
SECURITY.
The information you provide us is stored on a secured private server. While we take reasonable precautions to protect your personal information, no security system is 100% impenetrable and we cannot guarantee the security of information that you provide to us via the Internet, through the Platform, through online ordering, or in databases stored on our servers.
THIRD-PARTY LINKS.
From time to time, the Platform may contain links to sites that we and our affiliates do not own, operate nor control. All such links are provided solely for your convenience. If you use these links, you will leave the Platform. Neither we nor any of our respective affiliates are responsible for any content, material or other information located on or accessible from any other site. Neither we nor any of our respective affiliates endorse, guarantee, or make any representations or warranties regarding any other site, or any content, materials or other information located or accessible from any other site, or the results that you may obtain from using any other site. If you decide to access any other site linked to or from this Platform, you do so entirely at your own risk.
INTELLECTUAL PROPERTY.
Our Content. Except for AI Output and User Content as defined below, all of the content featured or displayed on the Platform, including, without limitation, text, graphics, photographs, images, videos, sound, and illustrations are owned by us, our licensors, vendors, agents and/or our content providers. All elements of the Platform, including without limitation the design, software, interface, logos, trademarks, and underlying technology and Our Content, are protected by trade dress, copyright, moral rights, trademark and other laws relating to intellectual property rights.
License to use the Platform. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal use (Clients) or internal business use (Providers), in each case as permitted by these Terms. Except for the limited license in these Terms, no rights are granted to you. You may not modify any of the materials and you may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information or work contained on the Platform.
Trademarks. All of our trademarks, service marks and trade names used herein (including but not limited to the Fidden name, Fidden corporate logo, the Platform name, the Platform design, and any logos) (collectively “Marks”) are our trademarks or registered trademarks or of our affiliates, partners, vendors or licensors. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify our trademarks in any way, including in advertising or publicity pertaining to distribution of materials on the Platform, without our prior written consent. The use of our Marks on any other site or network computer environment is not allowed.
USER CONTENT.
User Content. You may be able to publish reviews, messages, e-mails, photographs, videos, feedback and other content for display on the Platform ("User Content"). You represent and warrant that you have all rights necessary to submit that User Content and that it does not violate law or others’ rights. You shall be solely responsible for your own User Content and the consequences of posting or publishing them. The Platform merely acts as a passive conduit for your online distribution and publication of User Content.
License to Us. You grant us a worldwide, non-exclusive, royalty-free, worldwide, irrevocable, perpetual, sublicensable license to host, store, reproduce, distribute, modify (for formatting and platform display), publicly display, and otherwise use your User Content, subject to applicable law, required consents (including for use of your name, image, likeness, voice, or testimonial in advertising), our Privacy Policy, and your settings:
to operate, improve, and provide the Platform;
to market and promote the Platform and the Services (for example, displaying Provider listings), subject to applicable law, required consents, our Privacy Policy, and your settings;
for commercial purposes and in connection with advertising for the sole benefit of the Platform, subject to applicable law, required consents, our Privacy Policy, and your settings; and
as otherwise permitted by our Privacy Policy and your settings.
Reviews. If you post reviews, they must be truthful and based on your genuine experience. We may remove reviews that violate these Terms.
PLATFORM INFORMATION.
We attempt to ensure that information on the Platform is complete, accurate and current. Despite our efforts, the information on the Platform may occasionally be inaccurate, incomplete or out of date. We make no representation as to the completeness, accuracy or currency of any information on the Platform.
Through your use of the Platform, you may be exposed to content that you may find offensive, objectionable, harmful, inaccurate or deceptive. By using our Platform, you assume all associated risks.
DISCLAIMERS OF WARRANTIES.
As-Is; As-Available. To the maximum extent permitted by applicable laws, the Platform (including the Site, App, all features and tools, any AI Features, Content, and any communications or information made available through the Platform) is provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranties of any kind.
No Warranties. To the maximum extent permitted by applicable laws, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranties arising out of course of dealing or usage of trade.
No Guarantee of Availability, Security, or Results. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Platform or any servers are free of viruses or other harmful components; or that any data, Content, or communications will be accurate, complete, reliable, or available at any particular time. We do not warrant that use of the Platform will produce any particular results (including any number of Bookings, revenue, leads, or business outcomes).
Jurisdictional Limitations; Consumer Rights. Some jurisdictions do not allow the exclusion of certain warranties or limitations on consumer rights. In such jurisdictions, the above disclaimers apply only to the fullest extent permitted by law. Nothing in these Terms is intended to exclude or limit any rights you may have under applicable consumer protection or other mandatory laws.
LIMITATION OF LIABILITY.
To the maximum extent permitted by applicable law:
No Indirect or Special Damages. Fidden Inc. and its affiliates, officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunities, anticipated savings, data, or business interruption, arising out of or relating to these Terms or the Platform, even if we were advised of the possibility of such damages.
Cap On Liability. Our total aggregate liability for all claims, demands, actions, and causes of action arising out of or relating to these Terms or the Platform (whether in contract, tort, negligence, strict liability, statute, or otherwise) will not exceed the greater of: (i) the total Fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars (US$100).
Provider Services; User Conduct; Third-Party Disputes. Without limiting the foregoing, we are not liable for any dispute, claim, injury, loss, or damage arising out of or relating to: (i) any Services (including their performance, quality, safety, legality, or outcome); (ii) any Provider Policies or their enforcement; (iii) any acts or omissions of any Provider, Client, or other User (including cancellations, no-shows, late arrivals, misconduct, or failure to comply with law); or (iv) any interactions between Users, whether online or in person.
Allocation of Risk; Essential Basis. You acknowledge and agree that the limitations in this Section are a fundamental part of the bargain between you and us, and that we would not provide the Platform without these limitations.
Jurisdictional Limitations; Consumer Rights. Some jurisdictions do not allow certain exclusions or limitations of liability. In such jurisdictions, the above limitations apply only to the fullest extent permitted by law. Nothing in these Terms limits or excludes liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be limited or excluded under applicable law, or any non-waivable consumer rights that apply to you.
INDEMNIFICATION.
You agree to indemnify, defend, and hold harmless Fidden Inc. and its affiliates, and each of their respective officers, directors, employees, contractors, licensors, service providers and agents from and against any claims, actions, liabilities, damages, judgements, penalties, fines, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:
your access to or use of the Platform or violation of these Terms;
your Content or other information that you make available through the Platform, including any claim that your Content infringes or misappropriates intellectual property, or violates any intellectual property right, privacy rights, or other rights of any person or entity;
if you are Provider: your Services, including performance, safety, quality, advertising, pricing, Provider Policies, refunds, cancellations, rescheduling, no-shows, late fees, Deposits, and compliance with licensing, insurance, and tax obligations;
if you are a Client (or acting for a Client): your Booking activity, including disputes with Providers, charge disputes, and any allegation that you failed to comply with a Provider’s disclosed Provider Policies that you accepted at checkout; and
any allegation of fraud, misrepresentation, deceptive practices, unlawful conduct, or violation of third-party rights by you or anyone using your Account
any dispute between you and another User.
Defense and Control. We may assume control of the defense of any matter subject to indemnification, and you agree to cooperate.
Settlement. You may not settle any Claim in a manner that imposes any obligation, admission of fault, payment, or restriction on any Fidden Party without our prior written consent. We may settle any Claim we control at our reasonable discretion.
Survival. This indemnification obligation survives the termination or expiration of these Terms and your use of the Platform.
RELEASE.
In the event that you have a dispute with one or more other Users, Clients, Providers, or other users of the Platform, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
MINIMUM AGE REQUIREMENTS.
The Platform is not directed to children. You must be at least 18 years old (or the age of majority where you live) or otherwise legally capacitated to use the Platform. If you use the Platform, you represent and warrant that you meet this requirement.
SUSPENSION AND TERMINATION.
Termination by You. You may stop using the Platform at any time. Providers remain responsible for fulfilling existing Bookings, unless properly cancelled under Provider Policies and applicable law.
Termination by Us. We may suspend or terminate your Account or access to the Platform at any time:
for violation of these Terms;
to comply with law or Payment Processor requirements;
to address fraud, security, or risk concerns; or
to protect Users, Fidden Inc., or the Platform.
Effects of Termination.
Your license to use the Platform ends.
We may remove or disable access to Content as permitted by law.
Sections intended to survive (including payment obligations, indemnification, disclaimers, limitation of liability, and dispute resolution) will survive.
Outstanding Amounts. Termination does not relieve Users of responsibility for negative balances, Chargebacks, refunds, Fees, or other amounts owed.
APP STORE AND GOOGLE PLAY TERMS.
App Store and Google Play Terms. If you download, access, or use the App through the Apple App Store or Google Play (each, an “App Store Provider”), the following terms apply in addition to these Terms.
Relationship. These Terms are solely between you and us, and not between you and any App Store Provider. Fidden (and not the App Store Provider) is responsible for the App and its content, and for providing any maintenance and support for the App to the extent required under these Terms or applicable law.
App Store Rules. You agree to comply with all applicable App Store Provider terms and policies. If there is a conflict between an App Store Provider’s terms and these Terms, regarding that App Store Provider’s responsibilities, the App Store Provider’s terms will control as to that App Store Provider.
Third-Party Beneficiary. You acknowledge and agree that the App Store Provider and its subsidiaries are third-party beneficiaries of this Section and may enforce this Section against you.
Export Compliance. You represent and warrant that you are not located in a country that is subject to a U.S. government embargo and that you are not listed on any U.S. government restricted party list, and you agree to comply with applicable export control and sanctions laws.
In-App Purchases (if applicable). If the App offers in-app purchases or subscriptions, those purchases may be processed by the applicable App Store Provider, and the App Store Provider’s billing terms, payment processing rules, and refund policies may apply in addition to these Terms. Any additional in-app purchase terms (if any) will be disclosed at the time of purchase or within the App.

If we receive a valid counter-notice, we may forward it to the original complainant and restore the material within 10–14 business days unless the complainant notifies us that they have filed an action seeking a court order.
Repeat Infringers. We may terminate, in appropriate circumstances and in our sole discretion, Accounts of users who are repeat infringers.

For material changes, we will provide notice (for example by email or in-app notice) at least 30 days before the changes take effect, unless a shorter period is required for security, legal, or operational reasons. GOVERNING LAW.
These Terms and any dispute arising out of or related to these Terms or the Platform are governed by the laws of the State of Ohio, without regard to Ohio’s conflict-of-laws rules that would result in the application of the laws of another jurisdiction.
Consumer-Rights Savings Statement. Nothing in these Terms is intended to waive or limit any rights or remedies you may have under mandatory consumer protection (or similar) laws that apply to you. If you have such rights, they apply to the extent required by law.
For clarity, the Federal Arbitration Act (FAA) governs the Agreement to Arbitrate below.
DISPUTE RESOLUTION; ARBITRATION AGREEMENT; CLASS ACTION WAIVER.
This Section affects your legal rights. Please read carefully.
Informal Resolution First. Before starting arbitration or a court case (except small claims), you agree to contact us at [email protected] and provide: your name and Account email, a description of the issue, and the relief you are seeking. We will try to resolve disputes informally within 30 days.
Agreement to Arbitrate. Except as stated in Section 36.3 (Small Claims) and Section 36.4 (Injunctive Relief for IP Misuse), you and we agree that any dispute, claim, or controversy arising out of or related to these Terms or the Platform will be resolved by binding individual arbitration administered by AAA under its applicable rules (Consumer Arbitration Rules), as modified by these Terms. You and we agree that the Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of this arbitration agreement.
Small Claims. Either party may bring an individual claim in small claims court if it qualifies and remains in that court. Unless applicable law requires otherwise, any small claims action between you and us must be brought in the small claims court in the county where you live (or, if required by law, in Franklin County, Ohio).
Injunctive Relief for IP Misuse. Either party may seek temporary or permanent injunctive relief in a court of competent jurisdiction to prevent infringement or misappropriation of intellectual property or unauthorized access to the Platform, without waiving arbitration for other claims. Unless applicable law requires otherwise, any such court proceeding must be brought in the state courts located in Franklin County, Ohio or, if federal jurisdiction exists, the U.S. District Court for the Columbus District of Ohio.
NO CLASS ACTIONS (CLASS ACTION WAIVER). You and we agree to bring disputes only on an individual basis. You and we waive any right to participate in a class, collective, representative, or private attorney general action, or to seek relief on behalf of others. If a court finds this waiver unenforceable for a particular claim, then that claim (and only that claim) will be litigated in court, and all other claims will be arbitrated.
Arbitration Location; Fees; Procedures. The arbitration may be conducted by phone, video, written submissions, or in person, depending on the administrator’s rules and the circumstances. If an in-person hearing is required, the hearing location will be in Columbus, Ohio, unless the administrator’s rules or applicable law require a different location (for example, based on your residence). The arbitrator may award any relief that a court could award on an individual basis. Allocation of fees and costs will follow the administrator’s rules and applicable law. If required by law, we will pay certain arbitration fees.
Mass Arbitration Management. To promote efficient resolution, if 25 or more similar arbitration demands are filed against us by the same or coordinated counsel (a “Mass Filing”), the parties agree to use a staged process with a set of initial “bellwether” cases, and pause remaining cases while bellwethers proceed, consistent with the arbitration administrator’s mass arbitration procedures or a process ordered by the administrator/arbitrator.
Opt-Out Right. You may opt out of this arbitration agreement by sending notice to [email protected] within 30 days of the date you first accept these Terms. Your opt-out notice must include your name, Account email, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.
Venue. To the extent a dispute is permitted to be filed in court (for example, to compel arbitration, to stay a court case pending arbitration, to confirm/vacate an arbitration award, or for proceedings permitted under Sections 36.3 or 36.4), and to the maximum extent permitted by applicable law, you and we agree to personal jurisdiction and venue in:
the state courts located in the county and state where you live, or
if federal jurisdiction exists, the U.S. District Court for the federal district where you live; provided that, if applicable law permits, the foregoing venues will be Franklin County, Ohio and the U.S. District Court for the Southern District of Ohio.
GENERAL.
Entire Agreement. These Terms (and any policies or exhibits incorporated by reference) are the entire agreement between you and us regarding the Platform and supersede prior agreements on the same subject.
Counterparts. A printed version of these Terms will be admissible in judicial and administrative proceedings based upon or relating to these Terms.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
No Waiver. Our failure to act with respect to your or others’ breach does not waive our right to act with respect to subsequent or similar breaches.
